Key Purpose of the Job:
This position will be to provide legal support to the company and oversee the company’s overall compliance with law and regulations in Vietnam and align with Group policies and best practices. The legal and compliance manager shall provide advice on a full range of legal issues, regulatory compliance, contracts, risk management, governance, complaints and general corporate matters.

Key Areas of Responsibility:
1. Legal and Contractual support:
o Advising Wall Street English on a wide range of commercial legal matters.
o Providing legal support and risk assessment to the various business functions, including finance, operations and HR.
o Drafting and negotiating a variety of legal documents and commercial contracts. This ranges from standard terms to bespoke agreements. Examples include terms and conditions, consultancy agreements, confidentiality agreements, service agreements and sale/purchase agreements
o Working closely with the businesses to ensure that appropriate risk management procedures are in place to cover contractual risk management.
o Support to handle legal requirements for M&A transaction when required.
o Review the impacts of changes in laws/regulations on our business and assists with responses to regulatory proposals as well as regulatory report. Recommend and support departments to prepare and have suitable action to comply with changes of law provisions.
o Provide record research and legal documents search if required.
o Managing dispute and negotiation of dispute settlements / litigation management.
o Managing specialist legal services provided by external firms on areas such as corporate, litigation, employment, tax, IP, property and environmental law

2. Develop, roll-out all local compliance policies and procedures:

o Establish and implement a compliance review system to ensure business activities are aligned with local laws and regulations.
o Create a comprehensive database of all the existing legal and compliance documentation in compliance with operations, finance and human resources.
o Work in collaboration with the internal legal counsel and business to ensure successful operations in compliance with applicable law and regulations.
o Prepare compliance reports, compliance risk assessment, and compliance action plan.
o Draft, review, and revise internal guidelines and regulations as required, including but not limited to internal regulation rules, employee handbooks, performance review, and disciplinary regulations.
o Deal with authorities to get final approval for implementation if required.

3. Manage legal documentation:
o Manage all the legal documents such as education licenses, investment registration certificates, enterprise registration certificates and other legal related documents including reviewing, updating all the changes with authorities, executing legal documents for new investment and/or new center, handling the inquiries, and inspection of authorities when needed.
o Prepare, update and review all power of attorney (POA), letters communicated with key stakeholder and authorities, and other related documents to ensure compliance with laws and regulations.


4. Legal administration:
o Ensure the company’s periodical reporting according to educational authorities’ requirements.
o Ensure the company’s periodical reporting according to all applicable rules and regulations.
o Prepare legal documents for audit when required.
o Arrange, archive records of all legal documents.
o Handle of disputes and/or litigations when necessary.
o Provide legal and compliance training to staff and management.
o Other tasks according to company legal & corporate affairs needs.

Yêu Cầu Công Việc

Minimum Relevant Experience: 6 years
Minimum Supervisor Experience: 2 years

Required Competencies:
o Solid technical legal knowledge and experience.
o Experience with drafting and negotiating contracts according to both English and Vietnamese law.
o High degree of ethics and integrity.
o Be proactive and action-oriented.
o Fluent written and spoken English and Vietnamese.
o Good ability of risk analyzing, problem-solving and solid judgment.
o Good training and presentation skills.
o Good people leadership and management skills.
o Be able to lead and manage projects and pressing timetables.
o Working experience in the Legal and Compliance function in the education sector and/or law firms is preferable.
